Mr. Piotr has been building houses in the Zabrze area for 7 years. In January 2024, his largest subcontractor suddenly declared bankruptcy, triggering an avalanche of financial claims hitting Mr. Piotr's private assets directly.

The challenge

The main contractor left behind 14 unfinished buildings and debts to material suppliers totaling 640,000 PLN. Due to errors in old contracts, creditors began demanding money directly from Mr. Piotr.

The situation was critical because the bailiff blocked the company account for 19 days. As a result, 6 employees did not receive their pay on time, and the bank threatened to terminate the working capital loan. Mr. Piotr risked losing his family home and two building plots with a market value of about 2.8 million PLN.

Our approach

Our team, consisting of a lawyer and a succession strategist, entered the company within 48 hours. First, we analyzed 11 framework agreements signed between 2021 and 2023 to find legal gaps allowing for a stay of execution.

Instead of fighting only in court, we focused on a hard separation of private assets from business risk. We prepared the statute of the family foundation and conducted an audit of all assets to be covered by protection. The entire process required close cooperation with a notary and the client's accountant.

The solution

We implemented a two-stage rescue plan. First, we led to the unblocking of the business account by demonstrating procedural errors in the bailiff seizure. Then, we transferred 3 key properties (home and plots) to the newly established family foundation.

We also changed the structure of concluding new contracts. We introduced clear rules of the game for future subcontractors that prevent joint and several liability for their debts. Every new contract now passes through a quick risk test that takes Mr. Piotr no more than 15 minutes.

Results

In less than 4 months, we completely secured the client's life achievements. Mr. Piotr can now sleep soundly because his private home is no longer linked to the risks involved with large construction investments.
